Details: Position Summary: Hillshire Brands will be relocating to Downtown Chicago in the coming months. The Senior Corporate Paralegal will be responsible for traditional corporate paralegal duties as well as supporting the Head of Compliance. Essential Duties and Responsibilities: Traditional corporate paralegal duties: forming and dissolving corporations, partnerships and limited liability companies, preparing merger and consolidation paperwork, drafting resolutions and basic articles of incorporation, by-laws and stock certificates, and maintaining corporate minute books and subsidiary databases Preparing and maintaining data for securities filings, including Section 16 filings Preparing materials for Hillshire Brands' and the Sara Lee Board of Directors (such as resolutions, meeting agendas, researching and preparing memos) Assisting with merger and acquisition transactions, including preparing and tracking documents and assisting with transaction closings Preparing and reviewing basic nondisclosure agreements, forming contracts and contract schedules in connection with Hillshire Brands' Sara Lee's procurement of goods and services Assisting the head of corporate compliance with administering the corporation's ethics hotline, running reports, analyzing trends, tracking investigations, and planning training sessions Serving as the main point of contact with the business on the company's Records Management Policy Assisting the Vice President, Government Affairs in first level review of proposed regulatory or legislative changes and assisting with special projects, including creation of reports and presentations Acting as a liaison to service providers to ensure products and services are meeting the needs of the department Other projects and matters as assigned by Law Department attorneys and Vice Presidents
